Incus Capital takes over Port Med Barcelona through partial debt capitalization

Cuatrecasas advised Arbor Investments, S.à r.l., a subsidiary of investment fund manager Incus Capital, on acquiring a controlling interest in Port Med Barcelona, S.A., (PMB), the concessionaire of Barcelona’s Marina Vela, through a partial debt capitalization agreed with the company. With three docks and pontoons with moorings for vessels, a dry dock and several leisure and catering establishments, Marina Vela Barcelona is located in one of the most privileged areas of the Barcelona coastline.

The entry of Incus Capital in PMB’s share capital has been the result of partially capitalizing the debt that PMB entered into with Incus Capital in 2016 to finance the construction and development of its business project. This corporate transaction, which has already been approved by the Port Authority of Barcelona, helps to ensure the company’s financial solvency and its commitment to agreements reached as part of the concession.

The team advising on the transaction was made up of Cuatrecasas lawyers Juan Aguayo, León López, Carlota Tojo, José Magán and José Ignacio López.
