This includes investment and disinvestment processes, joint ventures, sales of companies owning renewable energy plants, and bidding processes. We also advise on designing and promoting specific energy projects and on participating in bidding processes held by national authorities.
We provide comprehensive advice on the drafting, negotiation and litigation of common project contracts in the industry, including engineering, procurement and construction contracts (EPC); operation and maintenance contracts (O&M); interface agreements; power purchase agreements (PPA); wind turbine supply agreements (TSA); balance of plant agreements (BOP); and agreements on the common use of infrastructure. We also advise promoters and financial institutions on long-term financing agreements and ancillary contracts, including direct, shareholders, guarantee and hedge agreements.
Our advice is aimed at companies producing, supplying and selling all types of renewable energy—as well as institutions financing these activities—including photovoltaic, solar thermal, wind, hydrogen, eMethanol, biogas, geothermal, hydroelectric and tidal energy. We also advise biomass and biofuel producers, as well as investors and other industry stakeholders.
We advise our clients on implementing and developing projects in the field of oil and natural gas exploration and production, petroleum refining, transport and logistics, distribution and sale of oil products.
In the area of natural gas, we advise on planning and implementing complex industrial and commercial projects, including the construction and operation of liquefaction plants, regasification terminals and transport, storage and supply infrastructures. We also assist in projects for exploring, producing and marketing mining resources and other extractive industry products, areas in which our Latin American offices have particular expertise. Our team also has extensive experience in advising electricity, nuclear, oil and gas companies.
Our Infrastructure Practice is made up of lawyers with long-standing expertise in bidding, awarding, developing, operating and financing public-infrastructure projects under concession contracts and other forms of public-private partnerships (PPP). We advise public authorities, private tenders and finance institutions on their different forms, including multilaterals. These projects cover infrastructure in areas such as road transport, energy, airports, water, the environment, waste, hospitals, ports, railways, subways, parking garages, sports activities, education (schools and universities), police stations and correctional facilities.
We approach every project offering global solutions that cover all administrative, regulatory, corporate and commercial, financial, tax and contractual aspects (mostly construction, and O&M contracts).
