Yinson Renewables obtains financing from Natixis and IDB to develop solar plant

Cuatrecasas has advised global company Yinson Renewables, leader in renewable energy generation, on obtaining green financing from Natixis and IDB under New York law, for the construction and operation of the Matarani 97 MWp photovoltaic power plant in Arequipa. The project is key for Peru’s transition to cleaner energy.

The financing was finalized in a single disbursement on December 13, 2024, where the Natixis New York branch acted as administrative agent and Scotiabank Perú as Peruvian collateral agent and trustee.

The Cuatrecasas Lima office advised on structuring and negotiating the transaction, as well as on implementing Peruvian guarantees that included security interests in shares and accounts, and an asset trust and cash flow trust. The firm also advised on entering into a hedge agreement under the International Swaps and Derivatives Association (ISDA) 2002 Master Agreement to mitigate the risks of the transaction for the creditors.

The advisory team was led by lawyers Oscar Trelles and Kiomi Osorio, together with Wilfredo Cáceres and Vasco Mariátegui.
