If they opt to hold their general meeting only online, they must put in place measures to ensure the identity of the person exercising their voting right and offer the opportunity to participate in the meeting via electronic attendance, as well as representation granted to the Chair by remote means of communication and advance voting through remote means of communication.
We remind that Royal Decree Law 34/2020 had already established the possibility of exclusively electronic general meetings for private limited companies during 2021 but had included a different rule for public limited companies. The amendment of Royal Decree Law 5/2021 clarifies the situation.
