Carlos Ara regularly advises lenders and investors on distress scenarios involving company restructurings and liquidity injections, defensive postpetition and loan-to-own financing, as well as on going-concern business acquisitions through pre-pack sales and liquidation plans. Recently, he has successfully handled complex multiparty negotiations, sometimes involving pre-litigation and court action.
He also regularly advises on the monetization of illiquid assets (e.g., claims, deferred tax assets), liquidity transactions with inventory as collateral and sale-and-leaseback transactions. His court experience includes insolvency (e.g., clawback, subordination, pre-packs); enforcement of financing contracts and security interests: M&A (R&W), NPL and REO transactions; and corporate governance and directors' fiduciary duties.
Admitted to practice law in Spain and in New York State, he lectures at Universitat Pompeu Fabra and speaks regularly at forums on his specialty.
