Cuatrecasas advised Softys Brasil Ltda. (“Softys”) and Empresas CMPC S.A. (“CMPC”) on the concession and signing of a loan for US$51 million under New York law, for general corporate purposes.  In this transaction, Softys Brasil is the debtor; Empresas CMPC, the guarantor; and MUFG Bank Ltd., the creditor.

The transaction marks a milestone in the CMPC Group’s expansion in Brazil. In 2021, CMPC raised its bet by acquiring Carta Fabril, which helped consolidate Softys Brasil's leadership in the market, reaching an annual installed production capacity of 380,000 ton of tissue paper.

Softys has over 40 years of experience developing personal hygiene and care products and solutions. It is part of one of CMPC’s three business units with which the group seeks to keep up optimum financial results that will help it to continue growing and innovating.

Regarding this transaction, Macarena Ravinet, partner of the firm’s financial, and corporate and M&A practices said: “We are very happy to have advised the CMPC Group on this new financing: this transaction is a big step in its consolidation process on a very competitive market such as the Brazilian one.”

The team handling the transaction was made up of Cuatrecasas lawyers Federico Espinosa and Macarena Ravinet.
