Cuatrecasas has advised BTG Pactual on structuring a USD 50 million loan granted to several of the Vitalis Group companies, together with a group of Colombian and international banks. The highly complex transaction—not only due to the number of jurisdictions involved (Colombia, Mexico, Panama and Spain), but also the large number of participating parties—managed to improve market timelines and close the deal within two months (with the loan disbursement two days after closing).

The Vitalis Group is a Colombian multinational manufacturer and distributer of injectable drugs, with production plants in Colombia and Mexico. It has over 40 years’ experience developing and marketing sterile medicinal products and operates in 22 countries in Latin America, Asia and Africa.

According to Cuatrecasas Finance Practice partner Ana María Sánchez, "In many regards, this financing was emblematic due to its high level of complexity. The structured corporate financing involved four jurisdictions, many players (both for the debtors and the creditors) and we managed to close it in record time. It required an extremely high level of creativity, efficiency and commitment from all the team members to structure the transaction and close it within the planned timeline.”

The Cuatrecasas team of lawyers participating in the transaction was made up of Ana María Sánchez and Natalia Serrano, in Colombia; and León López, Juan Carlos Galicia and Alberto de Villa, in Mexico.
